This tender document focuses on the acquisition of a new VP for the UG. This video platform is a native Software-as-a-Service video content management system which can integrate with our LMS (currently Blackboard Learn, due to change, probably to Blackboard Ultra, Brightspace or Canvas) and Web Conferencing solutions (currently Blackboard Collaborate and Google Meet, but possibly due to change), as well as import any single video or audio type. The platform allows for unlimited storage and content management tools to enable easily finding, managing, archiving and/or deleting content. The video platform includes a web-based viewer, editor, and recorder and it supports live streaming as well. The video platform can be seamlessly integrated with our current recording facilities. The video platform will be available for all students and staff; main use is educational, but other purposes (e.g. marketing or research) are not excluded.

Reason for and aim of the contract

Right now, the UG, in this matter the contracting entity, has a contract for a VP, this contract terminates March 2023. The UG intends to conclude a new contract for a VP, that fulfils the requirements of this tendering document. The UG has set up a public tender for this for the entire UG.

The following components fall outside the scope of the contract:

• recording hardware;

• video conferencing;

• contract.

The UG intends to conclude a contract with one tenderer for a period of 3 years, with five options for renewal, each with 1 year. The contract will start on 1 December 2021. and terminate by force of law on 30 November 2024.

If the UG wishes to extend the contract, it will notify the contractor in writing at least 3 months before the contract ends by force of law, or the option of extension expires. The UG intends to conclude a contract for 8 years.

The University of Groningen and the contractor will also conclude a data processing contract. This data processing contract will be applicable to the handling and processing of personal data and non-personal data by the contractor for the purposes of the University of Groningen.

The draft contracts are included in Appendix A and Appendix B. If you are of the opinion that any of the Articles are disproportionate, you should state this when submitting questions for the memorandum of clarification (see planning on Tender Website), and provide argumentation and/or proposed amendments to the text. In the event of amendments to the draft contracts, the UG will inform tenderers of these in the most recent memorandum of clarification, after which the draft contracts will be definitive.

If UG concludes at any time during the implementation phase (1 December 2021-31 August 2022) that contractor seriously fails to fulfil UG requirements (as formulated in chapter 7 and as offered in the implementation plan, see paragraph 8.6) or another ground for termination occurs, UG may decide to terminate the contract and award the contract to the second tenderer in ranking. The second in ranking will therefore be awarded with a so called reserve contractor agreement for this purpose. This means that if the contract with the initial contractor is terminated the contract can be awarded to the tenderer to whom the reserve contractor agreement has been awarded. Therefore this reserve contractor agreement will be awarded to the second of the initial ranking.

The reserve contractor agreement will start on 1 December 2021 and terminate by force of law on 30 November 2022 unless premature termination of the contract with the initial contractor is in order.
