DNB is organising a restricted European tender procedure on behalf of itself and of other Participating NCBs for the award of Framework Agreements for the award of Orders for the production and supply of ES2 banknotes.
The objective of this European tender procedure is to enter into Framework Agreements with all Tenderers that fulfil the Selection and Award Criteria and which are not caught by a Ground for Exclusion.
Under these Framework Agreements, the Participating NCBs may issue Requests for Quotation for Orders for ES2 banknotes for the production year 2013 and, at the Participating NCBs' discretion, for the production years 2014-2016. Please note that this procedure does not relate to the Participating NCBs' requirements in relation to ES1 banknotes, which are covered by separate framework agreements.

Beschrijving van de opties:

DNB shall be entitled, at its sole and own discretion, to issue additional Requests for Quotation (for the delivery of the future years portions of the EURO 2 series) with the printing work(s) under the conditions as set out in the framework agreement(s) for the years 2014-2016. Therefore, even if suppliers would not be interested in producing for the Participating NCBs in 2013, it is important to participate in this tender procedure, as it also may relate to the Portions 2014-2016.

Geschiktheid om de beroepsactiviteit uit te oefenen:

— The Grounds for Exclusion mentioned in Article 45 Bao (which implements Article 45 Directive) shall apply separately. Candidates and Combination members will therefore be excluded from the Tender Procedure should they find themselves in any of the circumstances listed in said Article 45,

— The Candidate shall not have received state aid within the meaning of Article 107(1) of the TFEU that has not been declared compatible with the TFEU upon notification to the European Commission or which is not deemed to be compatible with such market pursuant to an EU Regulation or Decision. This enables the entity concerned to rebut the distortion of competition presumption by explaining that the measure concerned is not a state aid measure within the meaning of Article 107(1) TFEU or that the measure has been declared or is deemed to be compatible with the TFEU,

— The Candidate shall not have been allocated part or all of the banknote production of an EU Member State for the order years 2010, 2011 or 2012 without an opening up for competition, unless such failure to open the contract up for competition did not distort the level playing field because the remuneration concerned was based on a benchmark of market prices or because the Candidate keeps separate accounts,

— In-house and Public printing works shall only be admitted as Candidates if they comply with the following additional eligibility criteria:

(a) they shall have effective internal arrangements implementing the arms length principle, as defined below; and

(b) their income and costs shall be assigned on the basis of either (i) the International Financial Reporting Standards ("IFRS") adopted by the International Standards Board and recognized by the European Union or (ii) the national generally accepted accounting principles (“GAAP”) adopted by the EU Member State concerned in implementation of Fourth Council Directive 78/660/EEC of 25.7.1978 based on Article 54 (3) (g) of the Treaty on the annual accounts of certain types of companies (as amended) and of Seventh Council Directive 83/349/EEC of 13.6.1983 based on the Article 54 (3) (g) of the Treaty on consolidated accounts, both as amended or (iii) the relevant common cost accounting principles (“Comco”) defined separately by the Governing Council of the ECB; and

(c) independent external auditors shall monitor In-house and Public printing works’ compliance with the abovementioned additional eligibility criteria. In-house and Public printing works shall report the independent external auditor’s findings annually to DNB.

In this context, “arm's length principle” shall mean the principle in accordance with which there shall be full separation between an In-house and Public printing works' and its NCB's/public authorities’ accounts and reimbursement by an In-house and Public printing works of all administrative and organisational support that it receives from its NCB/public authority. In particular, this reimbursement shall cover:

(a) the additional, variable costs incurred by an NCB/public authority in providing administrative and organisational support to its In-house and Public printing works;

(b) an appropriate contribution by the In-house and Public printing works to the fixed costs related to the NCB's /public authorities’ administrative and organisational support; and

(c) an adequate return on the NCB's/public authorities’ capital investment in the In-house and Public printing works. Such contributions shall be calculated at market rates.

— Where the Candidate is a Combination, the submission of an RTP may not constitute an infringement of EU competition rules. Reference is made, in this context, to the European Commission Guidelines on the applicability of Article 101 TFEU to horizontal cooperation agreements (OJ 2010 C 11, p. 1),

— Two or more companies belonging to the same group of companies may only each submit an RTP if this Group relationship is not such as to influence their respective behaviour during the tender procedure. Such will only be deemed to be the case where the companies concerned submit evidence to the effect that they have in place a convincing Chinese walls policy which was applied when both distinct group companies prepared their RTP and will be applied when both distinct companies prepare their Tender.

Economische en financiële draagkracht:

The Candidates are to demonstrate their financial soundness by submitting their audited Annual Accounts over the last three years. Where such audited Annual Accounts in one or several three preceding years are not based and approved on a going concern basis, they shall be accompanied by a statement from an independent auditor to the effect that the Candidate is currently (as per November 2011) to be valuated on a going concern basis. Further to these Annual Accounts, the Candidate is also required to submit Statement E. DNB reserves the right to ask for further explanation regarding information included in the Annual Accounts.

Technische en professionele bekwaamheid:

1) The Candidate is currently accredited on both quality and security aspects for the production of ES1 euro banknotes by the Governing Council of the European Central Bank (ECB);

2) The Candidate has an automatic single note inspection system in order to perform a 100 % electronical inspection of all ES2 banknotes to be delivered under Further Agreements. The inspection system must be capable of detecting deviations from ESCB requirements. DNB has the right to verify that the Candidate’s 100 % automatic single note inspection system is able to sort out a minimum of 95 % of the deviations as defined by DNB and based on ESCB requirements. DNB will not perform such verification if DNB has verified the Candidate’s automatic single note inspection system in the context of the Joint European Tender for the Framework Agreement for the supply of ES1 banknotes.

3) The Candidate has performed at least:

a) one (1) reference project in the past three (3) years (2009, 2010 or 2011) in which euro banknotes were produced and supplied to a National Central Bank (NCB) of the euro area, or

b) three (3) reference project in the past three (3) years (2009, 2010 or 2011) in which banknotes were produced and supplied to NCB’s or other parties entitled to issue banknotes, which are not established in the country of establishment of the Candidate.

The Candidate is asked to give, in Annex 2 a description of these projects and to name the reference(s) whom DNB may consult should it wish to verify the information submitted.

The contract shall be subject to the terms and conditions of DNB.
