In general, the Selected Bidder, through a SPV, shall be responsible for meeting all operating and capital costs required to maintain and develop Twente Airport and pay a concession fee to ADT and deliver all other elements of the proposal, including deliveries regarding employment and sustainability. In return, the Selected Bidder will be entitled to all revenues generated by Twente Airport, including parking revenues and revenues derived from the aviation related Business Park, excluding revenues for air navigation services.

The anticipated transaction structure takes the form of a service concession for the exploitation of a geographical area for the purpose of the provision of airports to carriers by air. The Directive 2004/17/EC of the European Parliament and of the Municipality of 31 March 2004 coordinates the procurement procedures of entities operating in the water, energy, transport and postal services sectors. This Directive applies to activities relating to the exploitation of a geographical area for the purpose of: (a) exploring for or extracting oil, gas, coal or other solid fuels, or (b) the provision of airports and maritime or inland ports or other terminal facilities to carriers by air, sea or inland waterway. Article 18 of the Directive however, states that this Directive shall not apply to works and service concessions which are awarded by contracting entities carrying out one or more of the activities referred to in Articles 3 to 7, where those concessions are awarded for carrying out those activities. Therefore this Directive does not apply for the award of this Concession Contract. However, the Concession Contract for Twente Airport is a contract awarded by a public authority and therefore this Tender has been designed in accordance with the principles as laid down in the Treaty on the functioning of the European Union: the contract award will take place on the basis of objective criteria which ensure compliance with the principles of transparency, non-discrimination and equal treatment. This tender is a two-stage procurement procedure for the award of a Concession Contract for the development and operation of Twente Airport. The purpose of the first phase is to pre-select Economic Operators and/or consortia of Economic Operators that have demonstrated the legal, technical, and financial capacity required to participate in a competitive tender procedure for the Concession Contract for Twente Airport. Qualified Respondents will be allowed to proceed to the Request for Proposal phase. All Qualified Respondents will receive a draft Request for Proposals and a draft Concession Contract and given the opportunity by ADT to ask questions, provide comments and make suggestions to ADT for the improvement on the draft Request for Proposal (RFP) and the draft Concession Contract. The objective of this phase is to clarify and strengthen the conditions in the RFP and Concession Contract. The scope of the project can be investigated by the participants and ADT can gain new insights and explore alternative solutions. Negotiation between ADT and bidders is excluded.

The party (a single economic operator or a consortium of economic operators) the concession contract is awarded to, shall be required to establish an independent legal entity incorporated under the laws of the Netherlands prior to signing the Concession Contract. Informatie over termijnen voor beroep:

ADT kiest ervoor het voornemen tot onderhandse gunning vrijwillig te publiceren (vergelijk artikel 4.16 Aanbestedingswet). Daarbij geldt een vervaltermijn van 15 dagen, ingaande op de dag na de datum van de bekendmaking van deze aankondiging. Iedere gegadigde die het niet eens is met de in deze aankondiging vervatte gunningsbelissing kan binnen de vervaltermijn van 15 dagen een kort geding aanspannen middels de betekening van een dagvaarding aan de aanbestedende dienst. De gegadigde verliest dit recht wanneer een geschil later dan 15 dagen na bekendmaking van deze aankondiging tot gunning aanhangig wordt gemaakt middels betekening van een dagvaarding. Een kort geding dat na deze vervaltermijn zal worden aangespannen zal leiden tot niet-ontvankelijkheid. Na het verstrijken van deze termijn zal de overeenkomst worden gesloten.

Deze vrijwillige publicatie leidt er toe dat (i) naderhand geen vernietiging van de gesloten overeenkomst meer kan worden gevorderd en (ii) ook overigens niet meer in rechte tegen de in onderhavige aankondiging vermelde gunningsbeslissing kan worden opgekomen.
